이 약관은 SosomLab(이하 “회사”)가 제공하는 Nexa Clip(이하 “소프트웨어”)과 회사가 운영하는 릴레이 서버(이하 “공식 서버”)의 이용과 관련하여 회사와 이용자의 권리·의무 및 책임사항을 정합니다.

1. 정의

1. “소프트웨어”란 회사가 배포하는 Nexa Clip 애플리케이션을 말하며, 설치형·포터블·패키지 매니저 배포본과 함께 배포되는 보조 프로그램(이미지 격리 디코더)을 포함합니다.
2. “이용자”란 소프트웨어를 내려받거나 설치하거나 사용하는 모든 사람을 말합니다.
3. “릴레이 서버”란 서로 다른 네트워크에 있는 이용자의 기기들이 만나도록 중계하는 서버 프로그램(nexa-beepd)을 말합니다. 릴레이 서버는 소프트웨어에 포함되어 있지 않으며 회사의 Nexa Beep 프로젝트에서 별도로 배포됩니다.
4. “공식 서버”란 회사가 beepd.sosomlab.com에서 운영하며 소프트웨어의 기본값으로 등록된 릴레이 서버를 말합니다.
5. “승인한 기기”란 이용자가 소프트웨어의 기기 목록에서 대조 코드를 확인하고 승인한 다른 기기를 말합니다.

2. 약관의 효력과 변경

1. 이 약관은 이용자가 소프트웨어를 내려받거나 설치하거나 사용한 시점부터 효력이 발생합니다.
2. 회사는 관련 법령이 허용하는 범위에서 약관을 변경할 수 있습니다. 변경 시 개정 내용과 시행일을 이 페이지에 게시하며, 중요한 변경은 시행일 최소 7일 전에 공지합니다. 시행일 이후에도 소프트웨어를 계속 사용하면 변경에 동의한 것으로 봅니다.

3. 라이선스

1. 소프트웨어는 PolyForm Noncommercial License 1.0.0으로 제공됩니다. 개인 및 비상업적 용도의 사용은 무료입니다.
2. 상업적 사용에는 별도의 유료 라이선스가 필요합니다. 문의: [email protected].
3. 라이선스 전문은 소프트웨어의 소스 저장소에 게시되어 있으며, 이 조항과 충돌하는 경우 라이선스 전문이 우선합니다.
4. 소프트웨어는 판매가 아니라 이용 허락의 대상입니다. 저작권을 비롯한 모든 지식재산권은 회사에 있습니다.

4. 소프트웨어의 성격

1. 소프트웨어는 기본적으로 이용자의 기기 안에서만 동작합니다. 회사는 계정·호스팅·저장 공간을 제공하지 않으며, 동기화를 켜더라도 클립보드 내용은 이용자의 기기 사이에서만 오갑니다.
2. 소프트웨어는 개인정보를 회사에 전송하지 않습니다. 기기에 저장되는 데이터와 네트워크로 나가는 데이터는 개인정보처리방침에 설명되어 있습니다.
3. 동기화되는 클립보드 항목은 기기 사이에서 종단 간 암호화됩니다. 회사는 어떤 경로로도 그 내용에 접근할 수 없으며, 따라서 내용을 복구·제공·검열할 수 없습니다.
4. 클립보드 이력은 이용자 기기의 기기 키(device.key)로 암호화되고, 동기화 신원은 신원 키(identity.key)에 있습니다. 이 파일들이 손상되거나 삭제되면 이력을 열 수 없게 되거나 다른 기기에서 새 기기로 보이게 되며, 회사는 이를 복구할 방법이 없습니다. 데이터 폴더의 백업은 이용자의 책임입니다. 이력은 기기 밖에 보관되지 않으므로 기기를 바꾸면 따라가지 않습니다.
5. 페어링 암호는 이용자의 기기들이 만나는 자리를 남이 계산하지 못하게 하는 재료입니다. 암호가 유출되어도 승인하지 않은 기기와는 아무것도 주고받지 않지만, 페어링 암호와 기기 승인의 관리는 이용자의 책임입니다. 잃어버린 기기는 기기 목록에서 즉시 해제·삭제해야 합니다.

5. 클립보드 내용에 관한 책임

1. 소프트웨어는 이용자가 복사한 내용을 그대로 기록합니다. 클립보드에는 비밀번호·인증 토큰·개인정보·타인의 저작물이 지나갈 수 있으며, 어떤 내용을 기록·보관·동기화할지는 이용자가 설정(제외 앱·보관 정책·종료 시 삭제·동기화 켜기/끄기·기기 승인)으로 결정합니다.
2. 소프트웨어는 운영체제의 민감 표식을 존중하지만, 표식을 보내지 않는 앱에서 복사한 민감 정보가 이력에 남을 수 있음을 이용자는 인지해야 합니다.
3. 승인한 기기에 전파된 항목은 그 기기의 이력에 저장됩니다. 공유 기기나 타인의 기기를 승인하는 경우 그 결과는 이용자의 책임입니다.
4. 이용자는 소프트웨어를 통해 타인의 권리를 침해하거나 관련 법령이 금지하는 내용을 보관·전파해서는 안 됩니다.

6. 공식 서버

1. 공식 서버는 같은 네트워크에 있지 않은 이용자의 기기들이 만나도록 회사가 무상으로, 호의에 따라 제공하는 선택 기능입니다. 이용자가 설정에서 직접 선택하고 연결 테스트를 해야만 사용되며, 선택하지 않아도(None) 같은 네트워크 안에서 소프트웨어는 완전하게 동작합니다.
2. 공식 서버는 중계만 하며 클립보드 내용·메타데이터를 저장하지 않습니다. 따라서 서버를 경유한 동기화라도 양쪽 기기가 동시에 접속해 있을 때만 전달됩니다.
3. 회사는 공식 서버의 가동률·응답 시간·전송 속도·지속적인 제공을 보장하지 않습니다. 회사는 사전 통지 없이 서버를 점검·변경·중단·종료할 수 있으며, 남용 방지를 위해 연결당 대역폭 상한·동시 채널 수·유휴 시간 제한 등을 두거나 바꿀 수 있습니다.
4. 공식 서버가 중단되더라도 같은 네트워크 안의 동기화와 기기 안의 모든 기능은 영향을 받지 않습니다. 이용자는 언제든 릴레이 서버 프로그램을 직접 세워 사용할 수 있으며, 직접 세운 서버는 공식 서버와 동일하게 동작합니다.
5. 이용자가 직접 세우거나 제3자가 운영하는 릴레이 서버에 대해 회사는 어떠한 책임도 지지 않습니다.

7. 이용자의 의무

이용자는 다음 행위를 해서는 안 됩니다.

1. 유효한 유료 라이선스 없이 소프트웨어를 상업적으로 사용하는 행위
2. 타인의 기기를 그 사람의 동의 없이 승인하거나, 타인의 페어링 암호를 입수해 그 사람의 기기와 만나려 시도하는 행위
3. 공식 서버에 과도한 부하를 주거나, 대역폭 상한·접속 제한 등 남용 방지 장치를 우회하거나, 서버를 공격하는 행위
4. 소프트웨어의 보안 장치(암호화 저장, 기기 승인, 서버 핀 등)를 우회해 타인의 기기나 데이터에 해를 끼치려는 행위
5. 악성 코드, 불법 복제물, 타인의 권리를 침해하거나 관련 법령이 금지하는 내용을 보관·전파하는 행위
6. 그 밖에 관련 법령 또는 이 약관이 금지하는 행위

회사는 공식 서버를 남용하는 접속을 사전 통지 없이 차단할 수 있습니다. 다만 회사는 동기화 내용을 볼 수 없으므로, 이용자 사이의 분쟁에 개입하거나 이를 중재할 수 없습니다.

8. 붙여넣기와 키 주입

1. 소프트웨어는 이용자가 고른 항목을 원래 활성 창에 붙여넣기 위해 운영체제의 입력 주입 기능(Windows SendInput · macOS 접근성 · Linux 데스크톱 포털)을 사용합니다. 이 기능은 이용자가 권한을 허용한 경우에만 동작하며, 주입된 내용이 어느 창에 들어가는지는 주입 시점의 포커스에 따라 달라질 수 있습니다. 소프트웨어는 원래 창을 복원하려 시도하지만 이를 보장하지 않으며, 잘못된 창에 붙여넣어진 결과는 이용자의 책임입니다.
2. 관리자 권한으로 실행된 앱, 일부 터미널, 원격 데스크톱 세션 등에서는 주입이 동작하지 않을 수 있습니다. 이 경우 내용은 클립보드에 실려 있으므로 이용자가 직접 붙여넣어야 합니다.

9. 제3자 구성요소

소프트웨어는 운영체제가 제공하는 구성요소 위에서 동작하며 제3자 소프트웨어(패키지 매니저, 데스크톱 환경 등)와 연동될 수 있습니다. 해당 구성요소에는 각자의 라이선스와 약관이 적용됩니다.

10. 보증의 부인

소프트웨어와 공식 서버는 “있는 그대로(as is)” 제공되며, 명시적이든 묵시적이든 어떠한 보증도 하지 않습니다. 여기에는 상품성, 특정 목적에의 적합성, 권리 비침해에 대한 보증이 포함되나 이에 한정되지 않습니다. 회사는 소프트웨어가 중단 없이 동작하거나 오류가 없거나 특정 네트워크 환경·하드웨어·시스템 구성·데스크톱 환경과 호환될 것을 보증하지 않습니다. 특히 일부 Wayland 컴포지터·게스트 무선망·가상 머신 네트워크에서는 클립보드 감시, 키 주입 또는 같은 네트워크 발견이 동작하지 않을 수 있습니다.

11. 책임의 제한

관련 법령이 허용하는 최대 범위에서, 회사는 소프트웨어 또는 공식 서버의 사용 또는 사용 불능으로 인해 발생한 간접적·부수적·특별·결과적·징벌적 손해와 데이터·수익·영업상의 손실, 클립보드 이력의 유실·손상, 항목의 미전파·지연·오전파, 잘못된 창에 붙여넣어진 내용으로 인한 피해에 대해 책임지지 않습니다. 다만 고의 또는 중대한 과실을 포함하여 법령상 배제할 수 없는 책임은 제한되지 않습니다.

12. 배포·서비스의 중단

회사는 언제든지 소프트웨어 또는 그 일부 기능의 배포와 공식 서버의 운영을 변경·중단할 수 있습니다. 이미 설치된 사본은 이 약관에 따라 계속 사용할 수 있으며, 기기 안의 기능과 같은 네트워크 안의 동기화는 공식 서버와 무관하게 계속 동작합니다.

13. 준거법과 관할

이 약관은 대한민국 법률에 따라 해석됩니다. 소프트웨어와 관련하여 발생한 분쟁은 민사소송법에 따른 관할 법원에 제기합니다.

These Terms govern the rights, obligations, and responsibilities between SosomLab (the “Company”) and you regarding the use of Nexa Clip (the “Software”) and the relay server operated by the Company (the “Official Server”).

1. Definitions

1. “Software” means the Nexa Clip application distributed by the Company, including the installer, portable, and package-manager distributions and the helper program shipped with it (the isolated image decoder).
2. “User” or “you” means anyone who downloads, installs, or uses the Software.
3. “Relay Server” means the server program (nexa-beepd) that helps your devices on different networks meet each other. The Relay Server is not part of the Software; it is published separately from the Company’s Nexa Beep project.
4. “Official Server” means the Relay Server operated by the Company at beepd.sosomlab.com and registered as the Software’s default.
5. “Approved Device” means another device that you have approved in the Software’s device list after checking the comparison code.

2. Effect and Changes

1. These Terms take effect when you download, install, or use the Software.
2. The Company may amend these Terms within the limits permitted by applicable law. Amendments and their effective date will be posted on this page; material changes will be announced at least 7 days before they take effect. Continued use of the Software after the effective date constitutes acceptance of the amended Terms.

3. License

1. The Software is provided under the PolyForm Noncommercial License 1.0.0. Personal and noncommercial use is free of charge.
2. Commercial use requires a separate paid license. Contact: [email protected].
3. The full license text is published in the Software’s source repository and prevails over this section in case of conflict.
4. The Software is licensed, not sold. All intellectual property rights, including copyright, remain with the Company.

4. Nature of the Software

1. By default the Software operates entirely on your device. The Company provides no account, hosting, or storage service, and even with sync enabled, clipboard contents travel only between your own devices.
2. The Software sends no personal data to the Company. What is stored on your device and what leaves it over the network is described in the Privacy Policy.
3. Synced clipboard items are end-to-end encrypted between devices. The Company cannot access their contents by any route and therefore cannot recover, hand over, or moderate them.
4. Your clipboard history is encrypted with the device key on your device (device.key), and your sync identity lives in the identity key (identity.key). If these files are damaged or deleted, the history can no longer be opened and other devices will see you as a new device; the Company has no way to restore them. Backing up your data folder is your responsibility. History is not kept anywhere outside your device and does not follow you to a new device.
5. The pairing passphrase is the ingredient that prevents others from computing where your devices meet. Even if it leaks, nothing is exchanged with a device you have not approved, but managing the pairing passphrase and device approvals is your responsibility. A lost device should be revoked and deleted from the device list immediately.

5. Responsibility for Clipboard Contents

1. The Software records what you copy, as is. Passwords, authentication tokens, personal data, and third-party copyrighted material may pass through the clipboard, and you decide what is recorded, retained, and synced through the settings (excluded apps, retention policy, clear on exit, sync on/off, device approval).
2. The Software respects the operating system’s conceal marker, but you should be aware that sensitive content copied from apps that do not send that marker may remain in your history.
3. Items propagated to an Approved Device are stored in that device’s history. If you approve a shared device or someone else’s device, the consequences are your responsibility.
4. You must not use the Software to store or propagate content that infringes the rights of others or is prohibited by applicable law.

6. Official Server

1. The Official Server is an optional feature the Company provides free of charge, as a courtesy, so that your devices on different networks can meet. It is used only if you select it in settings and run a connection test; with the relay set to None, the Software works fully on the same network without it.
2. The Official Server only relays and stores neither clipboard contents nor metadata. Consequently, sync through the server occurs only while both devices are connected at the same time.
3. The Company does not guarantee the availability, response time, throughput, or continued provision of the Official Server. The Company may maintain, change, suspend, or shut down the server without prior notice and may impose or change abuse-prevention limits such as per-connection bandwidth caps, concurrent-channel limits, and idle timeouts.
4. Suspension of the Official Server does not affect sync on the same network or any on-device feature. You may at any time run the Relay Server program yourself; a self-hosted server behaves identically to the Official Server.
5. The Company accepts no responsibility for Relay Servers hosted by you or by third parties.

7. Your Obligations

You must not:

1. use the Software commercially without a valid paid license;
2. approve another person’s device without their consent, or obtain another person’s pairing passphrase to attempt to meet their devices;
3. place excessive load on the Official Server, circumvent abuse-prevention measures such as bandwidth caps or connection limits, or attack the server;
4. attempt to harm other people’s devices or data by circumventing the Software’s safeguards (encrypted storage, device approval, server pinning, and the like);
5. store or propagate malware, pirated material, or content that infringes the rights of others or is prohibited by applicable law;
6. engage in any other conduct prohibited by applicable law or these Terms.

The Company may block connections that abuse the Official Server without prior notice. Because the Company cannot see synced contents, it cannot intervene in or mediate disputes between users.

8. Pasting and Key Injection

1. To paste the item you choose into the previously active window, the Software uses the operating system’s input-injection facilities (Windows SendInput, macOS Accessibility, Linux desktop portal). These work only after you grant permission, and which window receives the injected content depends on the focus at the moment of injection. The Software attempts to restore the original window but does not guarantee it; the consequences of content pasted into the wrong window are your responsibility.
2. Injection may not work in apps running with administrator privileges, in some terminals, or in remote-desktop sessions. In such cases the content is on the clipboard and you must paste it yourself.

9. Third-Party Components

The Software runs on components provided by the operating system and may interoperate with third-party software (package managers, desktop environments, and the like). Those components are subject to their own licenses and terms.

10. Disclaimer of Warranties

The Software and the Official Server are provided “as is”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not warrant that the Software will operate without interruption or error, or that it will be compatible with any particular network environment, hardware, system configuration, or desktop environment. In particular, clipboard monitoring, key injection, or same-network discovery may not work on some Wayland compositors, guest Wi-Fi networks, or virtual-machine networks.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, for loss of data, profits, or business, for loss or corruption of clipboard history, for items that are not propagated, are delayed, or are propagated incorrectly, or for harm caused by content pasted into the wrong window, arising from the use of or inability to use the Software or the Official Server. Liability that cannot be excluded by law, including liability for intent or gross negligence, is not limited.

12. Discontinuation

The Company may change or discontinue distribution of the Software or any of its features, and operation of the Official Server, at any time. Copies already installed may continue to be used under these Terms, and on-device features and same-network sync continue to work independently of the Official Server.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Korea. Disputes arising in connection with the Software shall be brought before the court having jurisdiction under the Civil Procedure Act.
