이 약관은 SosomLab(이하 “회사”)가 제공하는 Nexa Dir(이하 “소프트웨어”)의 이용과 관련하여 회사와 이용자의 권리·의무 및 책임사항을 정합니다.

1. 정의

1. “소프트웨어”란 회사가 배포하는 Nexa Dir 애플리케이션을 말하며, 포터블 실행 파일·설치형·패키지 매니저 배포본을 포함합니다.
2. “이용자”란 소프트웨어를 내려받거나 설치하거나 사용하는 모든 사람을 말합니다.
3. “클라우드 서비스”란 이용자가 소프트웨어에 연결할 수 있는 제3자 저장소 서비스(Microsoft OneDrive·Google Drive·Dropbox 등)를 말합니다.

2. 약관의 효력과 변경

1. 이 약관은 이용자가 소프트웨어를 내려받거나 설치하거나 사용한 시점부터 효력이 발생합니다.
2. 회사는 관련 법령이 허용하는 범위에서 약관을 변경할 수 있습니다. 변경 시 개정 내용과 시행일을 이 페이지에 게시하며, 중요한 변경은 시행일 최소 7일 전에 공지합니다. 시행일 이후에도 소프트웨어를 계속 사용하면 변경에 동의한 것으로 봅니다.

3. 라이선스

1. 소프트웨어는 PolyForm Noncommercial License 1.0.0으로 제공됩니다. 개인 및 비상업적 용도의 사용은 무료입니다.
2. 상업적 사용에는 별도의 유료 라이선스가 필요합니다. 문의: [email protected].
3. 라이선스 전문은 소프트웨어의 소스 저장소에 게시되어 있으며, 이 조항과 충돌하는 경우 라이선스 전문이 우선합니다.
4. 소프트웨어는 판매가 아니라 이용 허락의 대상입니다. 저작권을 비롯한 모든 지식재산권은 회사에 있습니다.

4. 소프트웨어의 성격

1. 소프트웨어는 이용자의 PC에서 로컬로 동작합니다. 회사는 이를 위한 서버를 운영하지 않으며, 계정·호스팅·저장 공간을 제공하지 않습니다.
2. 소프트웨어는 개인정보를 수집하지 않습니다. 자세한 내용은 개인정보처리방침을 참고하십시오.
3. 소프트웨어는 온라인 서비스가 아니므로, 회사는 가동률이나 이용 가능 시간을 보장하지 않습니다.

5. 이용자의 의무

이용자는 다음 행위를 해서는 안 됩니다.

1. 유효한 유료 라이선스 없이 소프트웨어를 상업적으로 사용하는 행위
2. 권한 없는 데이터에 접근·변경·삭제하기 위해 소프트웨어를 사용하는 행위
3. 클라우드 서비스의 이용 한도·호출 제한·약관을 우회하거나, 소프트웨어에 동봉된 OAuth Client ID를 남용하는 행위
4. 그 밖에 관련 법령 또는 이 약관이 금지하는 행위

6. 파일 조작과 데이터 손실

1. 소프트웨어는 삭제·이동·덮어쓰기·일괄 이름 변경 등 되돌리기 어려운 작업을 수행합니다. 실행 전 대상 확인과 백업 유지의 책임은 전적으로 이용자에게 있습니다.
2. 되돌리기(Ctrl+Z)는 로컬 파일 조작에만 적용되며, 클라우드 서비스에서 수행한 작업에는 적용되지 않습니다. 클라우드에서 삭제된 항목은 해당 서비스의 휴지통이나 버전 기록에서 복구해야 합니다.
3. 회사는 이용자의 소프트웨어 조작으로 발생한 데이터의 손실이나 훼손에 대해 책임지지 않습니다. 다만 법령상 배제할 수 없는 책임은 그러하지 않습니다.

7. 클라우드 연결

1. 클라우드 서비스 연결은 선택 기능이며 이용자가 직접 시작합니다.
2. 클라우드 서비스에 대한 접근은 해당 서비스 제공자의 약관과 개인정보처리방침을 따릅니다. 회사는 그 관계의 당사자가 아니며, 제공자의 서비스·가용성·요금·정책 변경에 대해 책임지지 않습니다.
3. 소프트웨어는 편의를 위해 기본 OAuth Client ID를 동봉합니다. 이 값은 전체 이용자가 공유하므로 서비스 제공자가 호출 제한, 연결 인원 상한, 주기적 재인증, 조직 계정 동의 제한 등을 적용할 수 있습니다. 회사는 특정 서비스나 계정 유형에서 직접 연결 기능이 계속 제공될 것을 보장하지 않습니다. 이용자는 자신의 Client ID를 발급받아 설정할 수 있습니다.
4. 직접 연결이 불가능한 경우에도 기존 동기화 폴더를 얹는 링크(Link) 기능은 계속 사용할 수 있습니다.

8. 제3자 구성요소

소프트웨어는 운영체제가 제공하는 구성요소 위에서 동작하며 제3자 소프트웨어와 연동될 수 있습니다. 해당 구성요소에는 각자의 라이선스와 약관이 적용됩니다.

9. 보증의 부인

소프트웨어는 “있는 그대로(as is)” 제공되며, 명시적이든 묵시적이든 어떠한 보증도 하지 않습니다. 여기에는 상품성, 특정 목적에의 적합성, 권리 비침해에 대한 보증이 포함되나 이에 한정되지 않습니다. 회사는 소프트웨어가 중단 없이 동작하거나 오류가 없거나 특정 하드웨어·시스템 구성과 호환될 것을 보증하지 않습니다.

10. 책임의 제한

관련 법령이 허용하는 최대 범위에서, 회사는 소프트웨어의 사용 또는 사용 불능으로 인해 발생한 간접적·부수적·특별·결과적·징벌적 손해와 데이터·수익·영업상의 손실에 대해 책임지지 않습니다. 다만 고의 또는 중대한 과실을 포함하여 법령상 배제할 수 없는 책임은 제한되지 않습니다.

11. 배포의 중단

회사는 언제든지 소프트웨어 또는 그 일부 기능의 배포를 변경·중단할 수 있습니다. 이미 설치된 사본은 이 약관에 따라 계속 사용할 수 있습니다.

12. 준거법과 관할

이 약관은 대한민국 법률에 따라 해석됩니다. 소프트웨어와 관련하여 발생한 분쟁은 민사소송법에 따른 관할 법원에 제기합니다.

These Terms of Service govern the rights, obligations, and responsibilities between SosomLab (“we”, “us”, or “the Company”) and you in connection with your use of Nexa Dir (the “Software”).

1. Definitions

1. “Software” means the Nexa Dir application distributed by the Company, including its portable executable, installer, and package-manager distributions.
2. “User” means anyone who downloads, installs, or uses the Software.
3. “Cloud Provider” means a third-party storage service that the User may connect to the Software, such as Microsoft OneDrive, Google Drive, or Dropbox.

2. Acceptance and Amendment

1. These Terms take effect when you download, install, or use the Software.
2. The Company may amend these Terms within the limits permitted by applicable law. Amendments will be posted on this page with their effective date, and material changes will be announced at least 7 days in advance. Continuing to use the Software after the effective date constitutes acceptance.

3. License

1. The Software is licensed under PolyForm Noncommercial License 1.0.0. Personal and other noncommercial use is free of charge.
2. Commercial use requires a separate paid license. For inquiries, contact [email protected].
3. The full license text is published in the Software’s source repository, and it governs in the event of any conflict with this Section.
4. The Software is licensed, not sold. All copyright and other intellectual property rights remain with the Company.

4. Nature of the Software

1. The Software runs locally on the User’s computer. The Company operates no server for it and provides no account, hosting, or storage service.
2. The Software collects no personal information. See the Privacy Policy for details.
3. Because the Software is not an online service, the Company gives no undertaking as to availability or uptime.

5. User Responsibilities

Users must not:

1. Use the Software commercially without a valid paid license;
2. Use the Software to access, alter, or delete data they are not authorized to handle;
3. Circumvent the usage limits, rate limits, or terms of any Cloud Provider, or use the Software’s bundled OAuth client identifiers abusively;
4. Do anything otherwise prohibited by applicable law or these Terms.

6. File Operations and Data Loss

1. The Software performs destructive operations, including delete, move, overwrite, and bulk rename. The User is solely responsible for verifying targets before executing them and for maintaining backups.
2. Undo (Ctrl+Z) applies to local file operations only and does not apply to operations performed on a Cloud Provider. Items deleted from cloud storage must be recovered from that provider’s own trash or version history.
3. The Company is not liable for loss of, or damage to, data resulting from the User’s operation of the Software, except to the extent such liability cannot be excluded by law.

7. Cloud Connection

1. Connecting a Cloud Provider is optional and is initiated by the User.
2. Access to a Cloud Provider is governed by that provider’s own terms of service and privacy policy. The Company is not a party to that relationship and is not responsible for the provider’s service, availability, pricing, or policy changes.
3. The Software ships with default OAuth client identifiers as a convenience. These are shared among all users, so a provider may apply rate limits, connection caps, periodic re-authentication, or organizational consent restrictions. The Company does not guarantee that the Connect feature will remain available for any given provider or account type. Users may register and configure their own client identifiers instead.
4. Where direct connection is unavailable, the Link feature — which overlays an existing sync folder — remains usable.

8. Third-Party Components

The Software runs on components provided by the operating system and may interoperate with third-party software. Such components are governed by their own licenses and terms.

9. Disclaimer of Warranty

The Software is provided “as is” and “as available”, without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Software will be uninterrupted, error-free, or compatible with any particular hardware or system configuration.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Company is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profit, or business, arising out of the use of or inability to use the Software. Nothing in these Terms excludes liability that cannot be excluded by law, including liability for willful misconduct or gross negligence.

11. Term and Suspension of Distribution

The Company may modify, suspend, or discontinue distribution of the Software, or any of its features, at any time. Copies already installed remain usable under these Terms.

12. Governing Law and Jurisdiction

These Terms are interpreted in accordance with the laws of the Republic of Korea. Any dispute arising in connection with the Software is subject to the court having jurisdiction under the Civil Procedure Act of the Republic of Korea.
